CAPITAL MARKETS, FINANCE, & SECURITIES ATTORNEY OR SPECIAL COUNSEL / MID-LEVEL TO SENIOR

A leading AmLaw 50 firm is seeking a talented mid-senior level Associate Attorney or Special Counsel to join its prestigious Capital Markets & Securities practice . This is an outstanding opportunity for a driven legal professional to advise on complex finance and securities transactions and public company matters within a dynamic and collaborative environment.

Candidate Profile

  • JD from a top-tier law school with an excellent academic record .
  • Active Bar Admission in New York , in good standing.
  • 5–8 years of substantive experience advising on capital markets and securities transactions .
  • Securities Law Expertise : In-depth understanding of the Securities Act of 1933, the Securities Exchange Act of 1934, and related SEC regulations.
  • Corporate Governance : Experience counseling public companies on corporate governance, disclosure obligations, and compliance matters.
  • Demonstrated experience advising investment banks , issuers , underwriters , or investors in public and private offerings of debt and equity securities .
  • Ability to manage multiple matters in a fast-paced environment with a client-focused, solutions-oriented approach.
  • Soft Skills: Strong writing, communication, and interpersonal skills. The ideal candidate works well on a team and has an entrepreneurial spirit.

Key Responsibilities

  • Transaction Management : Lead and support capital markets transactions, including IPOs, follow-on offerings, private placements, and Rule 144A offerings.
  • Disclosure & Compliance : Advise clients on disclosure obligations, SEC reporting, and stock exchange requirements.
  • Public Company Counseling : Provide strategic legal advice on securities law compliance and corporate governance best practices.
  • Document Drafting : Prepare and review finance and restructuring documents, offering documents, registration statements, proxy statements, and other securities filings.
  • Client Engagement : Develop and maintain strong, trusted relationships with a broad range of clients, from emerging companies to established public corporations.

Compensation & Benefits

  • Highly Competitive Salary: $260,000 – $455,000 , commensurate with experience.
